Terms and Conditions – Heels and Tech Incubator Program

WELCOME TO THE HEELS AND TECH INCUBATOR PROGRAM IN PARTNERSHIP WITH HELPMUM FOUNDATION

1. TERMS AND CONDITIONS

By applying or agreeing to participate in the Heels and Tech Incubator Program (the “Program”) in partnership with HelpMum Foundation, you acknowledge and agree that these terms and conditions (the “Agreement”) form a legally binding contract between you, HelpMum Foundation (“HelpMum”) and the Learning Core Limited (“Heels and Tech”) collectively referred to as the “Organizers”.

2. ELIGIBILITY

2.1 The Program is open to all women with innovative tech ideas related to female-centered technology.
2.2 Participants must be residents of Nigeria and at least 18 years old.

3. APPLICATION PROCESS

3.1 Applications must be submitted through the official application portal by the stated deadline.
3.2 All information provided in the application must be accurate and complete. Incomplete or false information may result in disqualification.

4. SELECTION PROCESS

4.1 Participants will be selected based on the innovativeness, feasibility, and potential impact of their tech ideas.
4.2 The decision of the selection committee is final and not subject to appeal.

5. PARTICIPATION REQUIREMENTS

5.1 Participants must attend all scheduled mentoring and training sessions.
5.2 Participants must actively engage in all Program activities and collaborate with mentors and peers.

6. GRANT OF RIGHTS

By participating in the Program, you grant HelpMum and Heels and Tech (hereinafter referred to as the “Organizers”) the right to transmit, monitor, retrieve, store, and use your information in connection with the Program.

7. LIABILITY

7.1 The Organizers shall not be held liable for any claims, dissatisfaction, or issues arising from your participation in the Program, participant shall hereby release HelpMum from any such liability to the fullest extent permitted by law.
7.2 The Organizers shall not be held liable for any loss, damage, or injury suffered by participants during the Program, except where such loss, damage, or injury is caused by the gross negligence or willful misconduct of HelpMum.
7.3 Participants acknowledge that their participation in the program is voluntary and at their own risk, they are responsible for their own safety and the security of their personal belongings during the Program.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 All tech innovations developed by participants during the Program shall remain the intellectual property of the respective participants.
8.2 The Organizers shall have the right to use, modify, and commercialize the tech innovations presented during the Pitch Competition.
8.3 The Organizers shall not be liable for any claims of infringement in the event that it
independently develops similar innovations to those presented by participants prior to the Pitch Competition.

9. DATA OWNERSHIP AND USAGE

9.1 HelpMum and Heels and Tech shall co-own all data collected during the Program, including participant information and Program outcomes.
9.2 Participants agree that HelpMum and Heels and Tech may use, share, and disseminate this data for research, promotional, and reporting purposes.

10. DISPUTE RESOLUTION

10.1 Any disputes arising out of or in connection with this Agreement shall be resolved
amicably between the parties within ten (10) business days of any party notifying the other party of the existence of a dispute or claim.
10.2 If the Parties are unable to settle such dispute or claim amicably, then such dispute or claim shall be settled by Mediation under the rules applicable at the Lagos Multidoor Courthouse (LMDC).
10.3 A single mediator shall be appointed jointly by the Parties within three (3) business days of the expiry of the ten (10) business days reserved for amicable settlement, failing which, the mediator shall be appointed by the LMDC.
10.4 The decision agreed on at the end of mediation shall be final and binding on the Parties and shall be registered in court as a consent judgment.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

12. PAYMENT TERMS

12.1 HelpMum will provide financial sponsorship for the Program, including the grand prize for the pitch competition, as detailed in the Program guidelines.
12.2 The prize money will be disbursed to the winners no later than Seven (7) days after the conclusion of the Pitch Competition.

13. MEDIA RELEASE

13.1 The Organizers reserves the right to photograph, video, and record the participants’ participation in the Pitch Competition.
13.2 Participants agree that these photographs, videos, and recordings may be used by the Organizers for promotional purposes on social media platforms and other media channels.

14. AMENDMENT

HelpMum and Heels and Tech reserve the right to amend these Terms at any time. Any amendments will be communicated to participants in writing.

15. ACCEPTANCE

By submitting this application for the program, you affirm that you:
15.1 have read this Agreement and agree to abide by its terms.
15.2 Understand that these terms constitute a legally binding contract between you And the Organizers.
